These are the terms on which we provide Derive Growth Lab. By using it you agree to them.
These terms cover Derive Growth Lab only — the social publishing tool at studio.derivenotes.com/growth-lab. The Derive study app is a separate product with its own terms. The two products do not share accounts.
They are an agreement between you and Derive Notes Pty Ltd (ACN 696 859 597), an Australian company at 2/290 Boundary Street, Spring Hill QLD 4000, Australia. In these terms "we", "us" and "our" mean that company, and "you" means the person using Growth Lab.
Growth Lab lets you upload a video you have made, write a caption, choose which of your own connected social accounts should receive it, set the options each platform requires, and publish. It publishes to TikTok, Instagram and YouTube through those platforms' own official APIs.
Growth Lab acts on your instruction and nothing else. It does not post on a schedule you did not set, does not publish anything you have not seen on the screen first, and does not touch accounts you have not connected.
You connect an account by completing that platform's own OAuth login, in that platform's own window. We never see or store your platform password.
By connecting an account you confirm that it is yours, or that you are authorised to post to it. You keep control: you can revoke our access from inside the platform at any time, and that takes effect immediately without any action by us.
Your use of each platform remains governed by that platform's own terms — including the TikTok Terms of Service and Community Guidelines. Nothing here overrides them, and if these terms and a platform's terms conflict, the platform's terms apply to what happens on that platform.
Your content stays yours. We claim no ownership of the videos, captions or images you upload.
You grant us a limited, non-exclusive, royalty-free licence to store, process, transcode and transmit your content solely to provide the service to you — which in practice means: keeping it on our server while you work on it, and sending it to the platform you asked us to publish to. That licence ends when you delete the content. We will not use your content to advertise, to train models, or for any other purpose.
You promise that you own or are licensed to use everything you upload, including any music, footage and images in it, and that publishing it does not infringe anyone's rights.
You must not use Growth Lab to:
If content you publish is removed by a platform, or your platform account is restricted, that is a matter between you and that platform. We cannot reverse it.
Where a platform requires paid or sponsored content to be disclosed, Growth Lab gives you the controls to disclose it, and you must use them accurately. Declaring a video as promotional or as a paid partnership is a statement you are making to the platform and to your audience, and you are responsible for it being true. Some of these labels cannot be changed once a post is published.
We aim to keep Growth Lab running but we do not promise it will be uninterrupted or error-free. We may change, suspend or discontinue any part of it. If we discontinue it altogether we will give you reasonable notice and a chance to export your data.
Publishing depends on third-party APIs we do not control. A platform can change, rate-limit, deprecate or withdraw its API, or reject a post, and Growth Lab will stop being able to publish there. That is outside our control.
Growth Lab is currently provided at no charge. If we introduce fees we will tell you before they apply to you, and you may stop using the service instead.
The service, its software, design and branding are ours and remain ours. These terms give you permission to use the service, not a licence to copy, decompile or redistribute it.
You may stop using Growth Lab at any time; ask us to close your account and we will delete your data as described in the Privacy Policy.
We may suspend or close your account if you materially breach these terms, if we are required to by law or by a platform, or if keeping it open would put the service at risk. Where it is reasonable to do so we will tell you first and give you a chance to fix the problem.
Posts already published stay on the platform and remain under your control there.
Nothing in these terms excludes, restricts or modifies any guarantee, right or remedy you have under the Australian Consumer Law that cannot lawfully be excluded. If the Australian Consumer Law applies, and to the extent we are permitted to, our liability for a failure to comply with a consumer guarantee is limited to re-supplying the service or paying the cost of having it re-supplied.
Subject to that paragraph: the service is provided "as is"; we give no other warranties; and we are not liable for indirect or consequential loss, or for lost profits, lost revenue, lost followers or lost business opportunity. Our total liability to you for all claims in any 12-month period is limited to the greater of the fees you paid us in that period and AU$100.
You indemnify us against claims brought by a third party arising from content you published through Growth Lab, or from your breach of these terms.
We may update these terms. The version and date at the top of this page always show the current version. If a change is material we will give you reasonable notice; continuing to use the service after it takes effect means you accept it.
These terms are governed by the laws of Queensland, Australia. You and we submit to the non-exclusive jurisdiction of the courts of Queensland and the courts able to hear appeals from them.
